This document constitutes a binding agreement between StesPay (the "Platform") and the merchant, business, developer, or legal entity that registers for and uses our API and infrastructure (the "Merchant"). By creating an account and connecting its infrastructure to our API, the Merchant accepts these Terms and Conditions without reservation.
1. Nature of the Service and Role of the Platform
- The Platform acts exclusively as a technical facilitator and software intermediary enabling the Merchant to process international payments on its website using Stripe technology.
- The Platform is not a bank, financial institution, or electronic money issuer. Funds are processed and held under the regulated infrastructure of Stripe Inc. and its local subsidiaries.
2. Fees, Commissions, and Deductions
- Plan-based Processing Commission: For every successful transaction (one-time charge or recurring subscription) processed via our API, the Platform will automatically deduct a per-transaction commission based on the Merchant's active plan: Starter 5.5% + $0.40 USD, Growth 4.5% + $0.40 USD, or Professional 3.5% + $0.40 USD. The commission is calculated on the gross sale amount and deducted at settlement time.
- Monthly Subscription: All plans (Starter, Growth, Professional) have a $0 USD/month subscription fee. There are no fixed monthly charges — the Merchant only pays the per-transaction commission described above.
- Monthly Volume Limits: Each plan includes a monthly processing volume: Starter up to $20,000 USD, Growth up to $100,000 USD, Professional unlimited. Once the cap is reached the Merchant must upgrade to a higher-tier plan to continue processing that calendar month. Plan upgrades are instant and free.
- Non-Refundable: Both the per-transaction commission and the monthly subscription fee are non-refundable. Downgrades take effect at the end of the current billing period; upgrades are prorated.
- Third-Party Fees: These commissions are separate from and in addition to standard fees for international processing, currency conversion, or Stripe management services applicable to the Merchant's country of operation.
- Modifications: The Platform reserves the right to modify its commissions by notifying the Merchant at least 30 days in advance via email.
3. Liability for Fraud, Claims, and Chargebacks
- Direct Liability: The Merchant bears sole and absolute responsibility for the legitimacy of the products or services it sells.
- Chargebacks: If an end customer disputes a charge with their bank, the Merchant shall bear 100% of the cost of the chargeback, the disputed funds, and any administrative fees imposed by credit card networks.
- The Platform reserves the right to temporarily freeze or withhold funds from the Merchant's Stripe balance if a fraud or chargeback rate exceeding 1% of monthly volume is detected.
4. API Acceptable Use and Credential Security
- API Key Security: The Merchant is responsible for maintaining the confidentiality of its production keys (sk_live_...). Any transaction performed using its credentials will be deemed authorized by the Merchant.
- Sandbox Environment: Test Mode (Sandbox) is provided exclusively for technical validation. Attempting to process real transactions or store actual financial data in this environment is strictly prohibited.
- Prohibited Activities: Use of the API is not permitted for businesses that violate Stripe's Acceptable Use Policy (e.g., sale of illegal substances, pyramid schemes, unregulated financial services, unauthorized explicit content). Violation of this clause will result in the immediate and irreversible suspension of the account.
5. Fund Withdrawals and Banking Policies (Payouts)
- Net accumulated funds will be transferred to the Merchant's bank account according to the selected schedule (daily, weekly, monthly) or upon manual request, provided the established minimum threshold of $50.00 USD (or local equivalent) is met.
- The Platform is not liable for delays, returned transfers, or frozen funds resulting from errors in the Merchant's banking details (incorrect CLABE, SWIFT/BIC) or from compliance audits (KYC/AML) conducted directly by Stripe.
6. Limitation of Technical Liability
- The Platform provides its software "as is" and does not guarantee that the service will be 100% uninterrupted or error-free.
- In no event shall the Platform be liable for lost profits, indirect damages, or data loss suffered by the Merchant due to system outages, maintenance windows, or service interruptions on Stripe or Supabase servers.
7. Jurisdiction and Governing Law
These terms are governed by the laws of Texas, USA. Any legal dispute shall be resolved exclusively before the competent courts of that jurisdiction.
